Titan Demo Confidentiality Agreement

Version 1.1 · 25 October 2026

This agreement is between Thundering Technologies LLC ("Thundering", "we") and you, for yourself and for the company you name in the form (together, "you"). By completing the form, ticking the boxes and selecting "View demos", you accept it. Your electronic acceptance is your signature. If you are not authorised to bind your company, you are bound personally.

1. Confidential information. The Titan demo films and everything in them, including screens, workflows, features, report formats, methods and any non-public information about Thundering, are Thundering's confidential information and trade secrets, whether or not marked confidential. Titan is the subject of pending United States patent applications. This does not cover information that is, or becomes, public through no fault of yours.

2. Purpose. You may watch the films only to evaluate a possible business relationship with Thundering.

3. No copying. You will not download, record, screenshot, screen-capture, photograph, film or transcribe the films; put the films or any description of them into any AI or machine-learning tool, or use them to train one; or try to get around the access form, watermark or download protection.

4. No sharing. You will not show, share or describe the films, or share your link or access, with anyone outside your company, including any consultant, contractor, software vendor or technology company, without our written consent. Inside your company, you may discuss them only with people who need to know for the evaluation and who owe confidentiality duties. Each person who watches must accept this agreement themselves. You are responsible for anyone you discuss them with.

5. No competing use. For three (3) years from your acceptance, you and your company will not use anything shown in the films to design, build, commission, fund or improve software that performs title or settlement document examination, Schedule B analysis, or title or closing file automation, or help anyone else do so. You will not reverse engineer anything shown, and you will not file or assist any patent application claiming anything shown in the films.

6. Our name and brand. You will not use the Thundering or Titan names, logos or anything from the films in marketing, sales materials, comparisons, presentations or public statements, or suggest any partnership, endorsement or relationship with us, without our written consent. You will not make false or misleading statements about Thundering or Titan based on the films.

7. What the films show. The films use invented data. They show Titan as designed, including features that may be planned or in development. They are not an offer, promise or warranty. What we deliver, and when, is set only by a signed Order Form. Titan assists licensed title professionals; it does not issue title insurance or decide insurability.

8. Signed NDA. If your company has signed a Mutual Non-Disclosure Agreement with Thundering, it also applies. Where the two differ, the terms that better protect Thundering's confidential information apply.

9. Remedies. A breach would cause Thundering irreparable harm. Thundering may seek an injunction, without posting a bond to the extent the law allows, as well as damages. The prevailing party in any action under this agreement may recover its reasonable attorney's fees.

10. Law and duration. Florida law governs this agreement. The state courts in Pinellas County, Florida, and the United States District Court for the Middle District of Florida have exclusive jurisdiction. This agreement lasts five (5) years from your acceptance and, for trade secrets, for as long as they remain secret.

11. Record. We keep a record of your acceptance: your name, company, title, email, the date and time, your IP address, your browser, and the version of this agreement. The films carry a watermark with your email and the date, and we record which films you play and how much you watch.

12. General. If any part of this agreement cannot be enforced, the rest still applies, and that part applies to the fullest extent the law allows. This is the whole agreement about the films, apart from a signed NDA under section 8. You may not transfer it; we may transfer it with our business. Acceptances of earlier versions continue to apply to what was viewed under them.
